What is LLP Registration?
A Limited Liability Partnership (LLP) is a hybrid business structure that combines the flexibility of a traditional partnership with the limited liability protection of a company. Governed by the LLP Act 2008, an LLP is a separate legal entity from its partners.
Unlike a Pvt Ltd company, an LLP is not required to hold board meetings, maintain complex statutory books, or pay dividend distribution tax. This makes it a cost-effective and administratively lighter structure — especially suited for professional service firms.
- Minimum 2 designated partners required (no upper limit)
- No minimum capital requirement
- Annual compliance: Form 8 (Statement of Accounts) + Form 11 (Annual Return)
- Partners are taxed individually — no corporate tax (unless profits exceed ₹1 crore for surcharge purposes)
Benefits of LLP Registration
Limited Liability
Each partner's liability is limited to their agreed contribution. Personal assets of partners are protected against company debts.
Lower Compliance Burden
No mandatory board meetings, no audit (if turnover < ₹40 lakh & capital < ₹25 lakh), and simpler ROC filings compared to a Pvt Ltd.
No Minimum Capital
An LLP can be registered with any amount of capital. There is no minimum paid-up capital requirement under the LLP Act 2008.
Flexible Partner Structure
Profit-sharing ratios, management rights and responsibilities can be freely structured through the LLP Agreement — more flexible than a Pvt Ltd's Articles of Association.
Separate Legal Entity
An LLP can own property, open bank accounts, sign contracts and sue/be sued independently of its partners.
Preferred by Professionals
CA firms, law firms, architects, management consultants and other regulated professions are increasingly using LLP as their preferred structure.
